1. Advisory Mandate & Scope of Practice
These Terms of Professional Engagement (“Terms”) govern all strategic consultations, forensic plan audits, benefits restructuring, executive continuity assessments, and wealth advisory services provided by Robwoh Unified Advisory Inc. (“the Firm,” “we,” “us,” or “robwohadvisory.com”).
Our advisory practice specializes in independent corporate employee benefits optimization, executive risk mitigation, key-person protection, disability security, retirement and capital accumulation planning, education fund governance, and holistic multi-generational estate wealth governance for Canadian organizations and private families.
2. Fiduciary Mandate & Strict Carrier Neutrality
Robwoh Unified Advisory Inc. operates with uncompromising carrier neutrality. We represent our clients exclusively - business owners, fiduciaries, executive teams, and families - never insurance carriers or financial institutions.
We do not maintain carrier-exclusive sales agreements, volume distribution quotas, or proprietary product targets. Every recommendation, carrier tender, and benefit structure is evaluated solely against client balance-sheet objectives, claims performance metrics, and cost containment standards.
3. Regulatory Compliance & Provincial Licensing Notice
Robwoh Unified Advisory Inc. and its designated principal advisors are licensed and regulated by provincial insurance councils across Canada, including the Financial Services Regulatory Authority of Ontario (FSRA).
All brokered contracts - including Group Life and Health, Key-Person Insurance, Disability Overhead Defense, Shareholder Buy-Sell Funding, Critical Illness, and Segregated Funds - are executed pursuant to valid provincial life licenses in compliance with statutory Codes of Conduct prescribed by Canadian insurance regulators.
4. Professional Scope & Collaborative Boundaries
Our advisory briefings, forensic audits, and strategic recommendations integrate core Canadian corporate tax and wealth preservation principles, such as Capital Dividend Account (CDA) credit generation, holding company risk insulation, and corporate estate freezes.
Interdisciplinary Collaboration: Strategic counsel provided by Robwoh Unified Advisory Inc. does not replace formal legal opinions or accredited public accounting statements. We collaborate directly with your client-retained Chartered Professional Accountants (CPAs) and corporate legal counsel to ensure that all structures, buy-sell covenants, and trust designations are reviewed, validated, and formally executed in accordance with Canadian corporate and tax law.
5. Fee & Commission Transparency
Institutional integrity demands complete transparency regarding advisory remuneration. Depending on the engagement parameters established with the client, compensation models include:
- Standard Underwriter Commission: Standardized brokerage commissions built directly into open-market carrier premium structures at no additional out-of-pocket cost to the client.
- Fee-for-Service & Retainer Mandates: Transparent hourly or fixed-fee consulting arrangements for specialized forensic plan diagnostics, RFP management, or custom corporate restructuring, agreed to in advance in writing.
- Full Remuneration Disclosure: Clients maintain the right to receive detailed disclosure of all compensation received by the Firm in connection with their placed insurance contracts.
6. Client Disclosure Integrity & Responsibilities
To ensure contract validity, pricing accuracy, and enforceability under Canadian provincial insurance legislation, clients agree to:
- Provide complete, accurate corporate census records, claims experience statements, and financial information during diagnostic audit phases.
- Promptly notify the Firm of corporate restructurings, ownership transitions, employee eligibility shifts, or material health status changes affecting active applications or group policies.
- Acknowledge that under Canadian provincial insurance law, the failure to disclose material facts or the provision of inaccurate data to underwriters may void policy coverage or compromise claims enforceability.
7. Intellectual Property & Diagnostic Artifacts
All proprietary analytical models, Target Loss Ratio (TLR) diagnostic spreadsheets, forensic benefits benchmarking reports, and strategic advisory blueprints developed by Robwoh Unified Advisory Inc. remain the exclusive intellectual property of the Firm.
Clients are granted a non-exclusive, non-transferable license to utilize these diagnostic artifacts solely for internal corporate governance, executive decision-making, and carrier evaluation.
8. Limitation of Liability & Canadian Jurisdiction
To the maximum extent permitted under applicable Canadian law:
- The cumulative liability of Robwoh Unified Advisory Inc. arising out of any advisory engagement shall be strictly limited to the actual advisory fees or commissions received by the Firm for the specific engagement giving rise to the claim during the preceding twelve-month period, or applicable limits under mandatory provincial professional errors and omissions coverage.
- Neither party shall be liable for indirect, incidental, consequential, or punitive damages.
- These Terms of Engagement and all disputes arising hereunder shall be governed by, construed, and enforced exclusively in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal proceedings shall be submitted to the exclusive jurisdiction of the courts of Ontario.
